Public Board of Directors papers 29.09.22

with proposals for updating guidance on the statutory duties for Foundation Trust governors and guidance on collaboration under the NHS provider licence. Together these proposed changes are intended to support trusts to work in systems. The draft Code of governance applies to both NHS foundation trusts and, for the first time, NHS trusts. It brings together the latest best practices of the NHS and private sector to set out a common overarching framework for the corporate governance of trusts that complements their statutory and regulatory obligations. They make no changes to the duties or liabilities of directors. These developments in corporate governance are in the context of the ambitions of the NHS Long Term Plan and Integrated Care Systems: Design Framework. The consultation period ended in July 2022 and publication of the outcome is advertised as being in the summer of 2022. We will assess the new guidance when published and update the board on any changes to our corporate governance arrangements that are required. However, as the board is aware an application has already been made to develop the governance structure of the charity in line with advice and guidance from the Charity Commission. The legal and financial implications of this have been explored in detail by the executive team and demonstrating this revised status offers new opportunities for the charity to support our future strategy and capital programme. The details of this will be built into the away day on strategy and board discussion in October 2022. Responsible Director – Deputy CEO with Company Secretary and Portfolio Director
